Welcome to ProPrompter. These Terms of Service ("Terms") govern your access to and use of the ProPrompter website, application, and services (collectively, the "Service") operated by Rafa Marco ("we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Eligibility

You must be at least 16 years of age to use this Service. By using ProPrompter, you represent and warrant that:

• You are at least 16 years old
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under any applicable laws
• If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms

3. Account Registration

To access certain features of the Service, you must create an account. When registering:

• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe may be compromised.

4. Description of Services

ProPrompter provides an online teleprompter service that allows users to:

• Create and manage scripts for teleprompter use
• Use a web-based teleprompter with customizable settings
• Record video locally on their device while reading scripts
• Access premium features through paid subscriptions

4.1 Free Tier

The free tier provides basic teleprompter functionality with limited features.

4.2 Premium Subscriptions

The Pro subscription provides access to advanced features including cloud storage, professional export formats, and priority support.

5. Subscriptions & Payments

5.1 Billing

Subscription fees are billed in advance on an annual basis. All payments are processed securely through Stripe.

5.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

5.3 Refunds

We offer a 14-day money-back guarantee for annual subscriptions. To request a refund, contact us at support@proprompter.io.

5.4 Price Changes

We reserve the right to modify subscription prices. Any price changes will take effect at the start of the next subscription period following notice to you.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Resell, redistribute, or sublicense the Service without our written consent
• Scrape, copy, or harvest data from the Service using automated means

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by ProPrompter and is protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes, subject to these Terms.

8. User Content

8.1 Ownership

You retain all rights to the content you create and upload to ProPrompter, including your scripts and recordings. Your recordings are processed locally on your device and are never stored on our servers.

8.2 License Grant

By uploading scripts to our Service, you grant us a limited license to store and display that content solely for the purpose of providing the Service to you.

8.3 Responsibility

You are solely responsible for the content you create and must ensure you have all necessary rights and permissions for any content you use.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of any information obtained through the Service

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPROMPTER AND ITS OWNER SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Any damages resulting from unauthorized access to or use of our servers
• Any damages arising from your use or inability to use the Service

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months prior to the claim.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in conduct that we determine to be harmful to the Service or other users.

11.3 Effect of Termination

Upon termination, all licenses granted to you will terminate, and you must cease all use of the Service. Provisions that by their nature should survive termination will survive.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through:

1. Negotiation: We will first attempt to resolve any dispute through informal negotiation.
2. Mediation: If negotiation fails, disputes may be submitted to mediation.
3. Jurisdiction: The courts of Spain shall have exclusive jurisdiction over any legal proceedings.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
